Terms of Service
1. Introduction
This Terms of Service (“Agreement”) governs your access to and use of the AlphaPros.ai, platform, billing portal, and services offered by Alphapros.ai, a brand of SM Marketing International, LLC (“Alphapros.ai,” “we,” “us,” or “our”).
By clicking “Accept,” accessing your billing portal, or using any AlphaPros.ai, services, you agree to this Agreement and represent that you have the authority to bind yourself or the business you represent.
2. Scope of Services
Alphapros.ai provides digital marketing and SEO-related services (“Services”), which may include on-page optimization, technical SEO, content creation, analytics integration, reporting dashboards, and related consulting.
Services may be billed on a recurring monthly or project-based basis as defined in your order, proposal, or subscription settings.
3. Billing and Payments
3.1 Payment Processing
All payments are processed securely through Stripe, and invoicing is managed via Zoho Books. Alphapros.ai does not store credit card or banking information on its own servers.
3.2 Recurring Billing
By subscribing to monthly or recurring services, you authorize Alphapros.ai and its payment processors to automatically charge the payment method on file each month until canceled.
3.3 Non-Payment and Account Suspension
If payment fails, your account may be automatically suspended or canceled. Services will automatically reactivate once payment is received. Alphapros.ai is not responsible for any delays or interruptions during suspension.
3.4 Cancellations
You may cancel recurring billing by providing written notice at least 30 days prior to your next billing date.

3.5 Refunds
Due to the nature of digital marketing and SEO services, all fees are non-refundable once work for the applicable period has begun.
3.6 Chargebacks
Initiating a chargeback without first contacting Alphapros.ai to resolve the issue constitutes a breach of this Agreement. Alphapros.ai reserves the right to recover fees, legal costs, and chargeback reversal expenses.
4. Client Responsibilities
You agree to:
- Provide timely access to your website, hosting, analytics, and other necessary tools.
- Maintain accurate billing and contact information.
- Safeguard your billing portal login credentials.
Delays caused by your inaction may extend project timelines without liability to Alphapros.ai.
5. SEO Service Disclaimer
Search engine optimization is influenced by many factors beyond Alphapros.ai’s control, including algorithm updates, competitor activity, and client content changes.
Accordingly, Alphapros.ai does not guarantee specific rankings, traffic volume, or business results.
6. Intellectual Property
All materials, reports, dashboards, software, and documentation provided by Alphapros.ai are the intellectual property of Alphapros.ai or its licensors. Clients are granted a limited, non-exclusive, non-transferable license to use deliverables solely for their business.
7. Limitation of Liability
To the fullest extent permitted by law, Alphapros.ai’s total liability for any claim related to this Agreement shall not exceed the total amount paid by you for Services during the current billing period.
In no event shall Alphapros.ai be liable for indirect, incidental, consequential, or punitive damages.
8. Indemnification
You agree to indemnify and hold harmless Alphapros.ai, its affiliates, officers, and employees from all claims, damages, or expenses arising from your breach of this Agreement or misuse of the Services.
9. Confidentiality
Both parties agree to maintain the confidentiality of proprietary or sensitive information exchanged in the course of business, including client data and marketing strategies.
10. Dispute Resolution
Any dispute shall be resolved by binding arbitration before a retired Maryland Circuit Court judge in Rockville, Maryland, pursuant to the Maryland Uniform Arbitration Act.
Each party shall bear its own costs and attorney’s fees unless otherwise awarded by the arbitrator.
Before filing arbitration, you agree to notify Alphapros.ai in writing and allow 10 business days to resolve the issue.
11. Governing Law
This Agreement is governed by the laws of the State of Maryland, without regard to conflict of law principles.
12. Severability
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13. Changes to Terms
Alphapros.ai may update these Terms of Service from time to time. The updated version will be posted on the website and become effective immediately upon posting.
14. Acceptance
By clicking “Accept” or continuing to use the billing portal, you acknowledge that you have read, understood, and agreed to these Terms of Service.
